Secondary Jurisdiction definition

Secondary Jurisdiction means a member of the European Union (other than Luxembourg and the Netherlands) as of the Effective Date or the date on which any Person becomes the Successor Company pursuant to Section 5.01(a) of Annex I, Switzerland or Canada.
Secondary Jurisdiction means the jurisdictions set forth on Section 1.1(d) of the Seller Disclosure Schedules.
