Second Tranche Shares has the meaning given in Clause 2.1(b);

Second Tranche Shares means an aggregate number of shares of Common Stock determined by, multiplying the Additional Advance by three percent (3%), and then dividing the product thereof by the Second Tranche Share Exercise Price, rounded up to the nearest whole number, subject to applicable adjustment hereunder.
