Second Priority Collateral Agent definition

Second Priority Collateral Agent means such agent or trustee as is designated “Second-Priority Collateral Agent” by Second-Priority Secured Parties holding a majority in principal amount of the Second-Priority Obligations then outstanding; it being understood that as of the date of this Agreement, the Initial Second-Priority Collateral Agent shall be so designated Second-Priority Collateral Agent.

Second Priority Collateral Agent means such agent or trustee as is designated as such by the Second Priority Lien Secured Parties pursuant to the terms of any applicable intercreditor agreement among the Second Priority Lien Secured Parties (if then in effect) or by the Second Priority Lien Secured Parties holding a majority in principal amount of the Second Priority Lien Obligations then outstanding (if no such intercreditor agreement is then in effect). As of the Issue Date, the Second Priority Collateral Agent will be the Collateral Trustee.

Second Priority Collateral Agent shall have the meaning ascribed thereto in the Preamble.

Examples of Second Priority Collateral Agent in a sentence

• The Second-Priority Collateral Agent shall not have duties or obligations under or pursuant to this Agreement other than such duties expressly set forth in this Agreement as duties on its part to be performed or observed.

• The Second-Priority Collateral Agent is executing and delivering this Agreement solely in its capacity as such and pursuant to directions set forth in the Second Lien Indenture; and in so doing, the Second-Priority Collateral Agent shall not be responsible for the terms or sufficiency of this Agreement for any purpose.

• This Agreement has been entered into to record the accession of the New Representative[s] as Other Second-Priority Representative[s] under the Junior Lien Intercreditor Agreement [and to record the accession of the New Collateral Agent as an Other Second-Priority Collateral Agent under the Junior Lien Intercreditor Agreement].

• This Agreement has been entered into to record the accession of the New Representative[s] as Other Second-Priority Representative[s] under the First Lien/Second Lien Intercreditor Agreement [and to record the accession of the New Collateral Agent as an Other Second-Priority Collateral Agent under the First Lien/Second Lien Intercreditor Agreement].

More Definitions of Second Priority Collateral Agent

Second Priority Collateral Agent means Computershare Trust Company of Canada, in its capacity as collateral agent under the Second Priority Senior Secured Notes Indenture and the Second Priority Collateral Documents, and its successors in such capacity.

Second Priority Collateral Agent means Wilmington Trust, National Association, in its capacity as collateral agent under the Second Priority Senior Secured Notes Indenture and the Noteholder Collateral Documents and its successors in such capacity.

Second Priority Collateral Agent has the meaning set forth in the Preamble of this Agreement.

Second Priority Collateral Agent shall be deemed to refer to the First Priority Collateral Agent. "Second Priority Credit Facilities" shall be deemed to refer to the First Priority Credit Facilities. "Second Priority Representative" shall be deemed to refer to the Bank Agent under the Credit Facilities or, if no obligations are outstanding under the Credit Facilities, the Trustee.
