Second Lien Debt Documents definition

Second Lien Debt Documents means any Second Lien Notes Indenture, the Second Lien Notes and the other agreements, certificates, documents and instruments delivered in connection with any of the foregoing, and such corresponding agreements, certificates, documents and instruments for any Refinancing of the Second Lien Debt.

Second Lien Debt Documents means the Intercreditor Agreement, promissory notes, security documents, second lien credit agreement, guarantees and all other documents or instruments executed and delivered by any Credit Party in connection with and pursuant to, the incurrence of Second Lien Debt.

Second Lien Debt Documents means the Initial Second Lien Debt Documents and any Additional Second Lien Debt Documents (including the Notes Documents).

Examples of Second Lien Debt Documents in a sentence

• Become a party to or permit any Subsidiary to become a party to any Restrictive Agreement, except a Restrictive Agreement as in effect on the Closing Date and shown on Schedule 8.1.16, the 2009 Indenture, the 2009 Indenture Guaranty, the Convertible Debentures, the Indenture, the Second Lien Debt Documents or the Revolver Loan Documents.

• Without limiting the generality of the foregoing clause, when the Assignee assigns or otherwise transfers any interest held by it under the Indenture Documents or any other Second Lien Debt Documents to any other Person pursuant to the terms of the Indenture Documents or any other Second Lien Debt Documents, that other Person shall thereupon become vested with all the benefits held by such Assignee under this Assignment.

• Any rights or protections, including, without limitation, all indemnities and rights to reimbursement that may be granted to the Assignee in its capacity as the Collateral Agent under any of the Indenture Documents or any of the other Second Lien Debt Documents shall be deemed incorporated herein.

• In the event of any conflict between the provisions of this Agreement and the provisions of any of the First Lien Debt Documents or any of the Second Lien Debt Documents, the provisions of this Agreement shall govern and control.

• In the event of any conflict between any term, covenant or condition of this Agreement and any term, covenant or condition of any of the First Lien Debt Documents or any of the Second Lien Debt Documents, the provisions of this Agreement shall control and govern.

More Definitions of Second Lien Debt Documents

Second Lien Debt Documents means each of the Second Lien Loan Documents, the Senior Notes Debt Documents, and the New Senior Notes Debt Documents.

Second Lien Debt Documents means the senior secured notes evidencing the Second Lien Debt, the Second Lien Debt Purchase Agreement and all other agreements, documents and instruments executed and delivered in connection therewith, in each case as in effect (i) on June 30, 2005 for the $40,000,000 “Loan A” portion thereof as described in the Second Lien Debt Purchase Agreement, and (ii) as of the Closing Date for the $45,000,000 “Loan B” portion thereof as described in the Second Lien Debt Purchase Agreement, as each of the same may be amended, modified, supplemented, renewed, restated or replaced in accordance with the terms of this Agreement.

Second Lien Debt Documents has the meaning given to such term in the Second Lien Intercreditor Agreement.

Second Lien Debt Documents means the Second Lien Purchase Agreement entered into on the date hereof, all notes issued thereunder and all security agreements, guaranties, pledge agreements, mortgages, deeds of trust and other agreements, documents and instruments now or at any time hereafter entered into or delivered by the Guarantor or other Person pursuant thereto, or evidencing any replacement, substitution, refunding, renewal or refinancing of or for all or any part of, the Second Lien Debt, in each case as the same may be amended, modified, supplemented, extended, renewed or restated and otherwise in effect from time to time.

Second Lien Debt Documents means the Second Lien Credit Agreement, the Second Lien Collateral Documents and the other “Loan Documents” (or the equivalent thereof) as defined in any Second Lien Credit Agreement, including each mortgage and other security documents, guaranties and the notes, if any, issued thereunder.

Second Lien Debt Documents means the Second Lien Indenture and, subject to the Intercreditor Agreement, all other instruments, agreements and other documents evidencing or governing the Second Lien Debt, or providing for any Guarantee or other right in respect thereof, in each case as amended, supplemented, extended, renewed, restated, replaced or otherwise modified from time to time in accordance with the Intercreditor Agreement.

Second Lien Debt Documents shall have the meaning set forth by the term “Credit Documents” in the Second Lien Loan Agreement (as in effect on the date hereof).
