Second Expansion Option definition

Second Expansion Option as defined in Section 36.1(a)(ii).
Second Expansion Option to expand the Premises to include all of the Rentable Area on one (1) floor of the Building. Such one (1) floor shall be:

  • The "Second Expansion Option Exercise Deadline" is the last day of August, 1996.

  • The "Second Expansion Option Rent Commencement Date" shall be the earlier of (i) the date of occupancy of any portion of the Second Expansion Space or (ii) December 15, 1996; provided, however, if occupancy is delayed solely due to Landlord Delay, the "120 days" immediately above shall be increased by the number of days of delay solely attributable to Landlord Delay.

  • Failure to deliver said notice to Landlord on or before the First Expansion Option Exercise Deadline shall terminate such First Expansion Option, the Second Expansion Option and the Third Expansion Option.

  • Landlord does hereby grant unto Tenant the First Expansion Option, the Second Expansion Option and the Third Expansion Option as more fully defined herein (collectively the "Expansion Options") exercisable subject to and in accordance with the terms and conditions of these Special Stipulations.

  • Such options are referred to herein as the "First Expansion Option", "Second Expansion Option" and "Third Expansion Option" and are individually referred to as a "Post-Occupancy Expansion Option".

Second Expansion Option means the entire Rentable Area on either one or two full floors (as determined by Tenant) in the Tower or the Building (as determined by Landlord), which floors shall be contiguous to the Premises (after giving effect to the Second Expansion Option) and selected by Landlord if available for lease to Tenant as determined by Landlord and if a contiguous floor is not available for lease to Tenant, then such floor or floors shall be selected by Landlord from the floors identified on the stacking plan which is attached to this Exhibit I-1 as Exhibit I-2; with possession of the Second Expansion Space being delivered to Tenant on February 1, 2008, plus or minus six (6) months (with the exact date being specified in the Landlord's Expansion Notice that will be delivered to Tenant in accordance with Section 3 of this Exhibit I-1).

Related to Second Expansion Option

  • Second Extension Option shall have the meaning set forth in Section 2.2.1(b) hereof.

  • Extension Option shall have the meaning set forth in Section 2.5(c) hereof.

  • First Extension Option shall have the meaning set forth in Section 2.6.1 hereof.

  • Renewal Option has the meaning set forth in §12.1.

  • Termination Option means the option of either party to terminate a transaction in the event that the other party fails to perform a Firm obligation to deliver Gas in the case of Seller or to receive Gas in the case of Buyer for a designated number of days during a period as specified on the applicable Transaction Confirmation.

  • Option to Extend has the meaning given that term in Section 2.13.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Second Extension Period means a period of twelve (12) consecutive months following the First Extended Maturity Date.

  • Conversion Option means the Company’s option to convert some or all of the Series D Preferred Stock into that number of shares of Common Stock that are issuable at the then-applicable conversion rate as described in Section 8(c) of these Articles Supplementary.

  • Option Term means a period, if any, through which this Agreement may be or has been extended by the JBE.

  • Non-Extension Notice Date has the meaning specified in Section 2.03(b)(iii).

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Non-Extension Notice has the meaning specified in Section 2.10.

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Minimum Extension Condition has the meaning assigned to such term in Section 2.23(b).

  • Second Notice has the meaning set forth in Section 6.2(ii)(b) hereof.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Option Period means the period during which an Option may be exercised.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.
