Second Event definition

Second Event for the purposes of this Agreement shall mean any of the following events occurring after a First Event: (1) A new Director of QUAKER is elected in an election in which the acquirer of the shares or the offeror or the requester voted, in person or by proxy, and such new Director was not nominated as a candidate in a proxy management prior to the occurrence of the First Event.

Related to Second Event

  • Designated Event with respect to X means that:—

  • Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.
