Second Amendment Documents definition

Second Amendment Documents means (a) the Second Amendment, (b) the Notes executed in connection therewith and (c) the Second Mortgage Amendments, in each case as amended, supplemented or otherwise modified from time to time.

Second Amendment Documents means the Second Amendment, the Notes and any other documents, agreements or instruments executed and delivered in connection therewith.

Second Amendment Documents means, collectively, the Second Amendment, the Joinder to Guaranty, the Third Amended and Restated Note, the Continuing Letter of Credit Agreement, and each other document, instrument, certificate and agreement executed and delivered by any Borrower, any Subsidiary, or any Guarantor in connection with the Second Amendment or otherwise referred to therein or contemplated thereby all as they may be amended, restated or otherwise modified.

Examples of Second Amendment Documents in a sentence

• By executing this Second Amendment each of the Wynn Amendment Parties (a) consents to the Second Amendment Documents, (b) acknowledges that notwithstanding the execution and delivery of the Second Amendment Documents, the obligations of each of the Wynn Amendment Parties under the Guarantee are not impaired or affected and the Guarantee continues in full force and effect and (c) affirms and ratifies, to the extent it is a party thereto, the Guarantee.

• The execution and performance of the Second Amendment Documents by Borrowers and Guarantors will not: (i) violate any provisions of any law or regulation, federal, state, local, or foreign, or any formation document of any Borrower; or (ii) result in any breach or violation of, or constitute a default or require the obtaining of any consent under, any material agreement or instrument by which any Borrower or its property may be bound.

• The Borrower hereby consents to the execution and delivery of this Amendment and each of the other Second Amendment Documents to which Borrower is a party and reaffirms its obligations under the Credit Documents.

• The Second Amendment Documents shall be binding upon the Borrower and the Lenders and their respective successors and assigns, and shall inure to the benefit of the Borrower and the Lenders and the successors and assigns of the Lenders.

• Except for the amendments and waivers set forth above and in the other Second Amendment Documents, the text of the Credit Agreement and the other Loan Documents shall remain unchanged and in full force and effect, and the Lender hereby reserves the right to require strict compliance with the terms of the Credit Agreement and the other Loan Documents as so modified, including, without limitation, all terms applicable to Subsidiaries of the Borrower, in the future.

Second Amendment Documents means, collectively, the Second Amendment, each Note executed and delivered by Borrower pursuant to subsection 4.1C, each Mortgage Amendment, each Ship Mortgage or amendment to a Ship Mortgage executed and delivered by Borrower or any Restricted Subsidiary pursuant to subsection 4.1M.

Second Amendment Documents means the Arbitration and Notice of Final Agreement executed by Borrower and Guarantor, a Revolving Promissory Note of even date herewith in the stated principal amount of $2,000,000, and all other documents, instruments and agreements executed in connection herewith.
