This Agreement shall terminate with respect to each Holder on the earlier of: (i) the date that is the later of (x) two years from the SEC Effective Date and (y) the date on which all Registrable Securities held by such Holder are transferred other than to a Permitted Transferee or may be sold under Rule 144 without volume limitations during any ninety (90) day period; or (ii) the date otherwise terminated as provided herein.
Notwithstanding the foregoing, each Independent Director elected or appointed to the Board prior to the date that the Company’s Registration Statement on Form S-11 relating to its offering of up to $3,000,000,000 in any combination of Class A and Class M shares is declared effective by the Securities and Exchange Commission (the “SEC Effective Date”) and who remains an Independent Director as of the SEC Effective Date shall receive such initial Stock grant on the SEC Effective Date.
This Agreement shall continue in full force and effect until the one (1) year anniversary of the SEC Effective Date, unless terminated sooner hereunder.
Buyer’s officers are not aware of any other filings that Buyer should have made prior to the SEC Effective Date under the Securities Act or the Exchange Act and were not made.
The Company agrees that, following the applicable SEC Effective Date with respect to any Securities or at such time as the Unrestricted Conditions are otherwise met or the 1933 Act Legend is otherwise no longer required under this Section 2(f), any certificates representing such Securities bearing the 1933 Act Legend may be exchanged for certificates bearing no 1933 Act Legend.
