SAP Materials definition

SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

SAP Materials means any materials (including statistical reports) provided, developed or made available by SAP (independently or with Customer’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Professional Services to Customer. SAP Materials do not include the Customer Data, Customer Confidential Information or the Cloud Service. SAP Materials may also be referred to in the Agreement as “Cloud Materials”.

SAP Materials means any software, programs, tools, systems, data or other materials made available by SAP to Licensee prior to or in the course of the performance under this Agreement including, but not limited to, the Software and Documentation, as well as any information, materials or feedback provided by Licensee to SAP relating to the Software and Documentation.

Examples of SAP Materials in a sentence

• Licensee may not, without SAP's prior written consent, assign, novate, delegate, pledge, subcontract or otherwise transfer this Agreement, or any of its rights or obligations under this Agreement, or the SAP Materials or SAP Confidential Information, to any party, whether voluntarily or by operation of law, including by way of sale of assets, merger or consolidation.

• Except for the rights set forth in Section 2 and 6.3 herein, Licensee is not permitted to modify or otherwise make derivative works of the Software or other SAP Materials.

• Licensee agrees that it will not submit the Software, SAP Delivered Support, Documentation or other SAP Materials or parts of any of these to any government agency for licensing consideration or other regulatory approval without the prior written consent of SAP, and that it will not export, re- export or import any Software, SAP Delivered Support, Documentation and/or SAP Materials to countries, persons or entities prohibited by any applicable Export Law.

• The SAP Materials and SAP Confidential Information and all title, rights and interest, especially, without limitation, any Intellectual Property Rights embodied therein are the sole and exclusive property of the SAP Group or their licensors, subject to any rights, title or interest expressly granted to Licensee in Sections 2 and 6.3 herein.

• Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agrees in writing to comply with the terms of this Agreement; and (ii) a breach of the Agreement terms by Affiliate shall be considered a breach by Licensee hereunder.

SAP Materials means any SAP Products, or other materials (as further described in the in the applicable SAP PartnerEdge Model) made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement.

SAP Materials means any materials, software and APIs provided or developed by SAP (independently or with Partner’s cooperation) prior to or in the course of performance under the Agreement, including in the delivery of any support to Partner or its Customers and any information, materials or feedback provided by Partner to SAP relating to the Cloud Service or Documentation. SAP Materials do not include any Customer or Partner Data, Partner Confidential Information, or Cloud Service

SAP Materials means any materials, (including Modifications and Add-ons), software and APIs provided or developed by XXX (independently or with Partner’s cooperation) prior to or in the course of performance under the Agreement, including in the delivery of any support to Partner or its Customers and any information, materials or feedback provided by Partner to SAP relating to the Software or Documentation. SAP Materials do not include any Customer or Partner Data, Partner Confidential Information, or the Software. “SAP 材料”是指 SAP 在协议履行之前或期间（独立或与合作伙伴合作）提供或开发的任何材料（包括修改和扩展组 件）、软件和 API，包括向合作伙伴或其客户提供任何支持，以及合作伙伴向 SAP 提供的与软件或文档相关的任何信息、材料或反馈。SAP 材料不包括任何客户或合作伙伴数据、合作伙伴保密信息或软件。
