This letter agreement sets out the terms and conditions upon which Mobil Oil New Zealand Limited (the "Seller") engages Jarden Partners Limited (the "Underwriter") to underwrite, sell and manage the disposal of 53,760,000 fully paid ordinary shares in Channel Infrastructure NZ Limited (the "Company") (the "Sale Shares" and the "Sale").
Under no circumstances will the Seller be liable for any Losses incurred or made by the Underwriter solely as a result of any resale of any Sale Shares acquired from the Seller pursuant to this Agreement.
