Sale Rights definition

Sale Rights shall have the meaning set forth in Paragraph 2(b) hereof.
Sale Rights provisions in this Addendum are not typically included in venture capital financings; they are more common in later-stage private equity deals. They have been drafted in response to the Delaware Chancery Court’s ruling in In re Trados Inc. S’holder Litigation, Case No. C.A.

  • If Company exercises any Sale Rights Option, Owner shall execute and deliver to Company such fu ther instruments and documents as may be necessary to vest in Company each and all of the rights so acquired by it, although Owner's failure to do so shall not adversely affect the vesting of rights.

  • During the period of twenty- one (21) business days following Company's actual receipt of the Sale Notice, Company shall have the exclusive option ("Sale Rights Option") to license, lease and/or purchase the Sale Right(s) upon the Terms.

Sale Rights. As set forth in the Investor's Rights Agreement, each of the Holders shall have certain rights of co-sale with respect to any transfer of Common Stock by any of the Major Shareholders (as defined in the Investor's Rights Agreement).

  • Drag-Along Notice has the meaning set forth in Section 3.03(b).
