Sale of a Subsidiary definition

Sale of a Subsidiary means, with respect to the Subsidiary for which the Participant is performing services at the time of the applicable event, the occurrence of any of the following events:
Sale of a Subsidiary means the sale of any subsidiary of the Corporation to one or more Independent Third Parties, pursuant to which such party or parties acquire (i) capital stock or other securities of the Corporation possessing a majority of the voting securities of the Corporation or the surviving entity to such transaction or the voting power to elect a majority of such subsidiaries board of directors or the board of directors (or similar governing body) of the surviving entity (or similar governing body) (whether by merger, consolidation or issuance, sale or transfer of such subsidiaries capital stock) or (ii) all or substantially all of such subsidiary’s assets determined on a consolidated basis.
Sale of a Subsidiary means, with respect to the Subsidiary for which the Participant is performing services at the time of the applicable event, the occurrence of any of the following events: (a) A change in the ownership of such Subsidiary, as determined in accordance with Treasury Regulation § 1.409A-3(i)(5)(v) or (b) A change in the ownership of a substantial portion of such Subsidiary’s assets, as determined in accordance with Treasury Regulation § 1.409A-3(i)(5)(vii).

Examples of Sale of a Subsidiary in a sentence

  • If the Participant is entitled to a benefit pursuant to Section 5(d), distributions shall be made in accordance with Section 5(e) not later than the 70th day after the date the Sale of a Subsidiary is consummated.

  • If the Participant is entitled to a benefit pursuant to Section 6(d), distributions shall be made in accordance with Section 6(e) not later than the 70th day after the date the Sale of a Subsidiary is consummated.

  • ORE Subsidiary means any Subsidiary of the Assuming Bank that engages solely in holding, servicing, managing or liquidating interests of a type described in clause (A) of the definition of “Other Real Estate,” which interests have arisen from the collection or settlement of a Shared-Loss Loan.

  • Guarantor Subsidiary means each Guarantor other than Holdings.

  • Issuer Subsidiary means any subsidiary of the Issuer.

  • Joint Venture Subsidiary means a Subsidiary of the Company or any of its Subsidiaries that has no assets and conducts no operations other than its ownership of Equity Interests of a Joint Venture.

  • Dormant Subsidiary means a Subsidiary that owns assets in an amount equal to no more than $5,000,000 or is dormant or otherwise inactive.
