S-3 Registration Rights means the rights of the Rights Holders to have their Registrable Shares registered on the terms and conditions of this Agreement pursuant to a Registration Statement on Form S-3 (or any successor form thereto) under the Securities Act that is filed by the Company as contemplated in Subsection 2.01(a) of this Agreement.

  • Demand Registration shall have the meaning given in subsection 2.1.1.
