If Purchaser elects to obtain a R&W Insurance Policy, the R&W Insurance Policy shall provide that the R&W Insurer shall have no right of subrogation against Seller or any of its respective Affiliates (except in the case of fraud), and the R&W Insurer has waived any such right of subrogation (except in the case of fraud).
Seller shall pay to the R&W Insurer Seller’s Portion of the R&W Insurance Policy Premium in accordance with the R&W Insurance Policy.
