Rule 144A Global Certificates definition

Rule 144A Global Certificates. As defined in Section 5.02(c)(ii) of this Agreement.

Rule 144A Global Certificates means the global certificates offered and sold within the United States to QIBs who are also QPs in reliance on the exemption from registration provided by Rule 144A and in substantially the form set out in Part B (Form of Rule 144A Global Certificate) of Schedule 1 (Form of Certificates) to the Representative Agreement and includes any replacements issued pursuant to Condition 16 (Replacement of Certificates);

Rule 144A Global Certificates means the global certificates offered and sold within the United States to qualified institutional buyers (within the meaning of Rule 144A) that are also “qualified purchasers” (within the meaning of U.S. Investment Company Act of 1940, as amended) in reliance on Rule 144A and in substantially the form set out in Part B (Form of Rule 144A Global Certificate) of Schedule 1 (Form of Certificates) to the Declaration of Trust and includes any replacements issued pursuant to Condition 16 (Replacement of Certificates);

Examples of Rule 144A Global Certificates in a sentence

• Beneficial interests in the Rule 144A Global Certificates may only be held through DTC and its direct or indirect participants including Euroclear and Clearstream, Luxembourg at any time.

• In addition, Regulation S Global Certificates, Rule 144A Global Certificates, Individual Certificates and, if applicable, any Definitive Registered Securities will be subject to certain restrictions on transfer set out in a legend or legends thereon.

• The Rule 144A Global Certificates will bear a legend and such Rule 144A Global Certificates, or any interest therein, may not be transferred except in compliance with the transfer restrictions set out in such legend.

• Where transfers are permitted in part, Certificates issued to transferees shall not be Rule 144A Global Certificates unless the transferee so requests and certifies to the Registrar that it is, or is acting as a custodian for, and nominee of, DTC and/or any Alternative Clearing System.

• PAYMENTS (a) Payments in respect of Regulation S Global Certificates, N-USD Rule 144A Global Certificates and Individual Certificates All payments in respect of Registered Securities will be made in each case subject to such (if any) other provisions (including any requirements as to certification of ownership) as are set out herein or in the Issue Terms and to any fiscal or other laws and regulations applicable in the place of payment.

More Definitions of Rule 144A Global Certificates

Rule 144A Global Certificates means, collectively, the DTC Rule 144A Global Certificate and the Non-DTC Rule 144A Global Certificate.

Rule 144A Global Certificates means, collectively, the USD Rule 144A Global Certificate and the N-USD Rule 144A Global Certificate.

Rule 144A Global Certificates. Registered definitive Certificates in substantially the form set forth in Exhibit A hereto.

Rule 144A Global Certificates means together the Class A Rule 144A Global Certificate, the Class B Rule 144A Global Certificate, the Class C Rule 144A Global Certificate, the Class D Rule 144A Global Certificate, the Class E Rule 144A Global Certificate, the Class F Rule 144A Global Certificate and the Subordinated Rule 144A Global Certificate and "Rule 144A Global Certificate" shall mean any of them, as applicable.

Rule 144A Global Certificates has the meaning specified in Section 3.12(a).

Rule 144A Global Certificates shall have the meaning specified in Article IX.

Rule 144A Global Certificates means the Class A Rule 144A Global Certificates, the Class B Rule 144A Global Certificates, the Class C Rule 144A Global Certificates, the Class D Rule 144A Global Certificates or the Subordinated Rule 144A Global Certificates, or (as the context may require) any of them.
