ROFN Product definition

ROFN Product has the meaning set forth in Section 2.5(c)(ii).

ROFN Product means a product, other than a Sublicensed Product, Controlled by Braeburn or its Affiliates during the Term, rights to which have not been licensed or sublicensed in the Territory to a Third Party prior to the Term.

ROFN Product means a product (other than a Product) that contains [***] and for which Pfenex conducts any research or development activities, excluding any such product comprising a Competing Program.

Examples of ROFN Product in a sentence

• Pfenex shall keep Jazz reasonably informed of material research and development activities with respect to each ROFN Product through the regular meetings of the JDC, including by providing summaries in reasonable detail of any material data generated in connection with such activities.

• Jazz shall have the right to exercise the ROFN for each ROFN Product by delivery of written notice to Pfenex (a “ROFN Exercise Notice”) within sixty (60) days of Jazz’s receipt of the ROFN Data Package for such ROFN Product in accordance with the terms of this Section 2.5. If Jazz does not provide a ROFN Exercise Notice to Pfenex within sixty (60) days after Jazz’s receipt of the applicable ROFN Data Package, then Jazz’s ROFN shall lapse only with respect to such ROFN Product.

• Pfenex may not file an IND for a [***] ROFN Product until Jazz declines its ROFN, Jazz’s ROFN expires without delivery by Jazz to Pfenex of a ROFN Exercise Notice, or the Parties fail to enter into a ROFN Exercise Agreement for such ROFN Product in accordance with the terms of Section 2.5.

• Following the completion of IND-enabling toxicology studies for a ROFN Product and in all events prior to the filing of an IND for such ROFN Product, Pfenex shall provide to Jazz the ROFN Data Package for such ROFN Product.

• The Parties acknowledge and agree that RELIANT’s rights as set forth in this Section 10 are independent rights which RELIANT may exercise separately, and for which the obligations set forth in this Section 10 shall apply separately, for each ROFN Product.

More Definitions of ROFN Product

ROFN Product means any Licensed Compound or Product that does not act mechanistically through the inhibition of BTK and/or FLT3.

ROFN Product shall have the meaning set forth in Section 11.10(a).

ROFN Product means any pharmaceutical product that (a) contains the Compound as an active ingredient, and (b) is for an indication that is both: (i) outside the Field and (ii) not a New CNS Indication.

ROFN Product means any Therapeutic Compound or any pharmaceutical product containing such Therapeutic Compound (1) the discovery of which incorporates or uses any Collaboration IP or (2) [***].

ROFN Product means solely (a) a Modified NKT Product; (b) for use in the Field and/or Outside the Field, (c) conceived, created, made, and/or developed (i) outside the Development Plan, outside the Co-Development Agreement, and outside any Specific Industrial Research Agreement or Specific Industrial Clinical Research Agreement, and (ii) without material support or contribution from the Development Budget or from any Third Party (other than where such support or contribution is received by Baylor from a governmental agency that does not limit, restrict, or qualify Baylor’s rights, title, and/or interest in resulting inventions), and (d) owned solely by Baylor and the subject of Technology Rights owned solely by Baylor.

ROFN Product means any product containing a ROFN Compound, alone or in combination with one or more other active ingredients, and in any formulation, dosage strength or method of delivery.

ROFN Product has the meaning set forth in Section 2.7.
