Rights Offering Notes definition

Rights Offering Notes means up to $1,600,000,000 of the Exit Senior Unsecured Notes, which shall be issued for cash pursuant to the Rights Offering and the Backstop Commitment Agreement; provided that the principal amount of the Rights Offering Notes will be reduced dollar for dollar based on the amount of the Exit Facility commitments in excess of $650,000,000 as of the Effective Date, but, in any case, to no less than $1,500,000,000.

Rights Offering Notes means the New First Lien Notes issuable in the Rights Offering, upon the exercise of Subscription Rights or Oversubscription Rights pursuant to the Offering Memorandum and the Subscription Agreements.

Rights Offering Notes means $30,000,000 aggregate principal amount of New Convertible Secured Notes offered pursuant to the Rights Offering.

Examples of Rights Offering Notes in a sentence

• Eligible Holders does not include persons or entities (other than Qualified Investors) that are residents of, or located in, any member state of the EEA or the United Kingdom (each a “Relevant State”), in excess of 149 natural or legal persons in any Relevant State and participation in Rights Offering Notes is accordingly limited.

More Definitions of Rights Offering Notes

Rights Offering Notes means the New 1.5 Lien Notes (including all Unsubscribed New 1.5 Lien Notes purchased by the Backstop Parties pursuant to this Agreement) issued pursuant to the Rights Offering and in accordance with the Offering Memorandum.

Rights Offering Notes has the meaning set forth in Section 6.12 of the Plan.
