  • Schedule A shall be updated from time to time as any Shareholder of the Company validly exercises its Right of Participation in connection with the issuance of the Purchased Shares under this Agreement and as any Purchaser validly exercises its right to oversubscription in connection with such issuance, if applicable.

  • If any Participating Rights Holder fails or declines to exercise its Right of Participation in accordance with subsection (a) above, the Company shall promptly give notice (the “Second Participation Notice”) to other Participating Rights Holders who exercised their Right of Participation (the “Right Participants”) in accordance with subsection (a) above.
