If the Interest Rate Basis is the Federal Funds Open Rate, this Note shall be deemed a “Federal Funds Open Rate Note.” Unless otherwise specified on the face hereof, “Federal Funds Open Rate” means the rate set forth on Reuters Service (or any successor service) on page 5 (or any other page as may replace the specified page on that service) for an Interest Determination Date underneath the caption “FEDERAL FUNDS” in the row titled “OPEN”.
The CE may recover the amount of an unpaid facilities levy as a debt from a person liable to pay the amount under this section.
For purposes of this definition, “Reuters LIBOR01” means the display designated on page “LIBOR 01” on Reuters Service (or such other publication as may replace the LIBOR 01 page for Reuters Service, any successor service or services, as may be nominated by the British Bankers’ Association (or successor institution) for purposes of displaying the London interbank rates offered for U.S. dollar deposits).
If the Final Terms specifies the Interest Rate applicable to the Notes as being Floating Rate it shall also specify which Reference Rate and the Relevant Screen Page (whether on the Reuters Service or any other information vending service) that shall be applicable.
If Reuters Service ceases publication or ceases to publish the LIBOR Rate, Lender shall select a comparable publication to determine the LIBOR Rate and provide notice thereof to Borrowers.
On each Note Rate Adjustment Date, Lender will obtain the close-of-business LIBOR Rate from reference “LIBOR01” from Reuters Service (or such reference as may replace LIBOR01 on that service) on the Note Rate Adjustment Date.
For purposes of this definition, “Reuters LIBOR01” means the display designated on page “LIBOR 01” on Reuters Service (or such other publication as may replace the LIBOR 01 page for Reuters Service, any successor service or services, as may be nominated by the British Bankers’ Association for purposes of displaying the London interbank rates offered for U.S. dollar deposits).
If the Final Terms specifies the Interest Rate applicable to the Notes as being Floating Rate, and the manner in which the Rate(s) of Interest is/are to be determined is specified as being Screen Rate Determination, it shall also specify which Reference Rate and the Relevant Screen Page (whether on the Reuters Service or any other information vending service) that shall be applicable.
In the event, pursuant to this subsection Reuters cancels: (a) a whole Reuters Service, Distributor may terminate this Agreement if Distributor is receiving only one Reuters Service at the time; (b) part of a Reuters Service, Distributor may cancel the affected Reuters Service if Reuters cancellation substantially frustrates Distributor's purpose in subscribing to such service.
Except as set forth in this subsection, such cancellation shall not give rise to a right of Distributor to cancel the affected Reuters Service or terminate the Agreement.
