Retention Award definition

Retention Award means an Award referred to as a Retention Award in the Award Statement.
Retention Award means an award allocable to a Participant’s Retention Award Account in accordance with Section IV.D.(6). The designation of the Participants who receive a Retention Award and the amount of each Retention Award shall be determined by the Employer in its sole discretion. Each Retention Award shall be evidenced by a written agreement between the Employer and the Participant. The written agreement shall set forth the terms and conditions governing the Retention Award and shall be consistent with the applicable terms of the Plan.
Retention Award means an Award granted under Section 11 of the Plan.

Examples of Retention Award in a sentence

  • For all currently active K-12 teachers with a 2018-2019 overall evaluation of Effective who did not receive the Retention Award, the parties agree to award a one-time payment of $1,000.

  • The Company reserves the right to impose other requirements on the Participant’s participation in the Plan, on the Special Retention Award and on any Shares acquired under the Plan, to the extent the Company determines it is necessary or advisable for legal or administrative reasons, and to require the Participant to sign any additional agreements or undertakings that may be necessary to accomplish the foregoing.

More Definitions of Retention Award

Retention Award means an award made by the Committee under this Plan which is no longer subject to the conditions set forth in Article V hereof and which is, therefore, non-forfeitable.
Retention Award means any payment to a Participant that is not payable periodically for services provided by the Participant, as determined by the Board from time to time, as provided in Article 8 hereof.
Retention Award means any retention, transaction or similar bonus awarded to a Participant that is payable in cash, other than any equity or equity-based award or any annual bonus, commission or annual performance bonus awarded pursuant to any cash incentive plan or program maintained by the Company Group. If any portion of a Retention Award is subject to vesting based on the achievement of any financial or Company Group performance metrics, then such performance metrics will be deemed to be achieved at 100% of their target levels and any applicable individual performance goals or goals based on subjective criteria will be deemed to have been attained in full.
Retention Award means the contingent right of a Participant to receive a retention bonus under the Plan, subject to the terms and conditions of the Plan.
Retention Award has the meaning given to it in Schedule 10(d);
Retention Award the cash amount advised by the Board to the Trustees to be contributed by the relevant Founder Group Company, on a non- refundable basis, to the Trust which cash amount shall, in accordance with the provisions of paragraph 2.5 of these Scheme Rules, be utilised by the Trustees to acquire the Trust Shares forming the subject matter of the Offer;
Retention Award means a Performance Award (which may or may not be designated as a Section 162(m) Award) that is granted for purposes of retention and that is only settleable at either 0% or 100% of the specified target amount, depending upon achievement of the applicable performance goal or goals.
