Retained Group definition

Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);
Retained Group means the Seller’s Group other than the Wider Group;
Retained Group means, with the exception of the members of the Company Group, the Parent, its Subsidiaries and any Subsidiary of any such Subsidiary from time to time.

  • The Purchaser shall procure that all licences of any Intellectual Property or rights in Business Information owned by the Target Group granted to any member of the Retained Group prior to the date of this Agreement (including the right to use the MRLD and MRLD Solutions trade marks) shall continue following Completion and the Seller shall promptly inform the Purchaser of any such licences of which it may be aware or become aware from time to time.
