Retained Facilities definition

Retained Facilities means the manufacturing, office, research and development, and warehouse facilities owned, leased or operated by Seller Parent or any of its Affiliates, other than the Facilities.

Retained Facilities shall have the meaning set forth in the preamble to this Agreement.

Retained Facilities means those facilities located at the Retained Sites and the Transferred Sites to be retained by a Dow Entity (other than a Xxxxxx Holdco or a Xxxxxx Subsidiary), as identified on Schedule 1.01(p).

• Any Lexington Common Shares delivered upon a conversion of Notes shall be newly issued shares or treasury shares, shall be duly and validly issued and fully paid and nonassessable and shall be free from preemptive rights and free of any lien or adverse claim.

Retained Facilities means the manufacturing, office, research and development, and warehouse facilities owned, leased or operated by any member of the GSK Group, other than the Consumer Healthcare Facility, excluding any facilities expressly transferring pursuant to the BA Site NEBA or the Brazil ATFA.

Retained Facilities means the Company's facilities identified on Schedule 2.1(b)(i)(A) and all buildings, improvements and fixtures at such facilities.
