Examples of Resulting entity in a sentence
The Parties have agreed to incorporate new rules constituting the New Governance of the Resulting Entity in: (i) New Statutes, (ii) the shareholders’ agreements, (iii) the code of corporate governance, and (iv) in any other corporate document that governs the Resulting Entity, in accordance with the provisions of this Chapter.
Employees or representatives of Creditors of the Resulting Entity or its subsidiaries when the credits altogether represent twenty percent (20%) or more of the liabilities of the Resulting Entity, including those persons who have acted in this capacity during the year immediately prior to the designation.
For these purposes “Significant Shareholder” will be understood as any shareholder with a participation of more than three percent (3%) of the share capital of the Resulting Entity on the date of completing the Merger or with a cut-off date of December 31st of the year immediately prior to the Shareholders’ Meeting, as the case may be, where the Board of Directors of the Resulting Entity will be chosen.
Natural persons or administrators of legal entities who supply goods or services of any kind to the Resulting Entity or its subsidiaries, when the income derived from such relations represents twenty percent (20%) or more of the entity´s operational income within the same calendar year.
