Restructuring Support Effective Date definition

Restructuring Support Effective Date means the date of delivery of duly authorized and executed signature pages hereto by (a) ION; (b) the Subsidiary Guarantors; and (c) the Requisite Supporting Noteholders.

Examples of Restructuring Support Effective Date in a sentence

• With respect to any Person that becomes a party to this Agreement by executing and delivering a Joinder Agreement after the Restructuring Support Effective Date, this Agreement shall become effective as to such Person at the time such Joinder Agreement is executed and delivered as hereinabove provided.

• With respect to any Person that becomes a party to this Agreement by executing and delivering a Joinder Agreement after the Restructuring Support Effective Date, this Agreement shall become effective as to such Person at the time such Joinder Agreement is executed and delivered to counsel to the Debtors and Stroock (in each case, at the addresses for such law firms set forth in Section 20 hereof).

• Upon the Restructuring Support Effective Date, the Restructuring Term Sheet shall be deemed effective on the Transaction Parties for the purposes of this Agreement and thereafter the terms and conditions therein may only be amended, modified, waived or otherwise supplemented only as set forth in Section 10 above.

• The Debtors hereby acknowledge and agree that, as of the Restructuring Support Effective Date, the Debtors’ entry into this Agreement does not violate, and is consistent with, the fiduciary duties of the Debtors’ directors, managers, or officers, as applicable.

• With respect to any Consenting Lender or other Transaction Party that becomes a party to this Agreement by executing and delivering a Joinder Agreement after the Restructuring Support Effective Date, this Agreement shall become effective at the time such Joinder Agreement is delivered to the Company and the Initial Consenting Lenders (subject to redaction as provided above).

More Definitions of Restructuring Support Effective Date

Restructuring Support Effective Date means, as to each Transaction Party, the date upon which this Agreement becomes effective and binding on such Transaction Party in accordance with the provisions of Section 11 of this Agreement.

Restructuring Support Effective Date means the date on which counterpart signature pages to this Agreement shall have been executed and delivered by: (A) the Debtors, (B) the Prepetition Lender, (C) Rimrock Investor, (D) LPI, (E) LSDG, (F) by at least 50% of the Initial Consenting Preferred Members holding at least 66⅔% of the Preferred Membership Interests, (G) the Affiliate Noteholder, (H) Executive Compensation Claim Holders holding 100% of the Executive Compensation Claims, and (I) by at least 50% of the MOU Claim Holders holding at least 66⅔% of the MOU Claims.

Restructuring Support Effective Date means the date upon which this Agreement becomes effective and binding on the Parties in accordance with the provisions of Section 11 hereof.

Restructuring Support Effective Date means (i) with respect to OA, the date upon which OA executes and becomes a Party to this Agreement, and (ii) with respect to the Debtors, the date upon which the Bankruptcy Court enters the Plan Support Agreement Approval Order approving this Agreement and its terms, and authorizing the Debtors’ entry into this Agreement.
