FINRA Matters . All of the information provided to the Underwriters or to counsel for the Underwriters by the Company, its officers and directors and the holders of any securities (debt or equity) or options to acquire any securities of the Company in connection with the offering of the Offered Securities in connection with letters, filings or other supplemental information provided to FINRA pursuant to FINRA Rule 5110 or 5121 is, to the Company’s knowledge with respect to all other persons except for the Company, true, correct and complete in all material respects as of the date hereof. Neither the Company nor, to the Company’s knowledge, any of its affiliates (within the meaning of FINRA Rule 5121(f)(1)) directly or indirectly controls, is controlled by, or is under common control with, or is an associated person (within the meaning of Article I, Section 1(ee) of the By-laws of FINRA) of, any member firm of FINRA.
Restrictions on Subsidiary Payments to the Company. Except as described in or contemplated by the Time of Sale Disclosure Package and the Prospectus, no subsidiary of the Company and no variable interest entity associated with the Company is currently prohibited, directly or indirectly, (A) from paying any dividends to the Company, (B) from making any other distribution on such subsidiary’s or entity’s capital stock, (C) from repaying to the Company any loans or advances to such subsidiary or entity from the Company or (D) from transferring any of such subsidiary’s or entity’s property or assets to the Company or any other subsidiary or entity of the Company.
