Restricted Software definition

Restricted Software means Software included in the Transferred Business Materials that is subject to conditions or limitations imposed by a technology licensor or other suppliers and that requires consent prior to its disclosure or assignment to third parties.
Restricted Software means any software programs or products, whether presently or in the future made commercially available by PSC or qad, which are subject to an agreement with a third party licensor or licensors subjecting such software programs or products to a license fee or royalty due to a third party licensor in the event such software programs or products are licensed.
Restricted Software means Developer’s software and documentation identified as such in Exhibit A.

Examples of Restricted Software in a sentence

  • You may copy the Restricted Software as reasonably necessary for backup or archival purposes.

  • If You dispose of any media embodying Restricted Software, You will ensure that You have completely erased or otherwise destroyed any Restricted Software stored on such media.

  • You further agree that, if SGI terminates this Agreement for Your default, You will, within thirty (30) days after any such termination, deliver to SGI or render unusable all Restricted Software originally provided to You hereunder and any copies thereof embodied in any medium.

  • The terms in such separate signed agreement shall govern LICENSEE’s use of the Restricted Software.

  • You shall maintain the same proprietary and copyright notices and legends on all such copies as included by SGI on the media embodying an authorized copy of the Restricted Software originally provided by SGI.

  • You agree that any SGI suppliers referenced in the Restricted Software are third-party beneficiaries of this Agreement, and may enforce this Agreement as it relates to their intellectual property.

  • You may transfer the Restricted Software and all licenses and rights in the Restricted Software granted to You under this Agreement to a third party provided that: (i) You transfer ownership of the SGI System to such third party transferee, (ii) such transferee agrees in writing to accept the terms and conditions of this Agreement, with a copy thereof promptly provided to SGI, and (iii) You also transfer all copies of the Restricted Software, including all documentation, to such transferee.

  • Except as provided in Section 5 below, You may not sublicense, distribute, rent, lease, lend or otherwise convey the Restricted Software or any portion thereof to anyone, and under no circum- stance may You use or allow the use of the Restricted Software in any manner other than as expressly set forth herein.

  • To the extent that any provision in this is in conflict with any other term or condition in this XXXX, this Section 3 shall supersede such other term(s) and condition(s) with respect to the Restricted Software, but only to the extent necessary to resolve the conflict.

  • Your appeal and ability to officer the Restricted Software may offer disabled.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Public Software means any Software that contains, or is derived in any manner (in whole or in part) from, any software that is distributed as free software, open source software (e.g., Linux) or similar licensing or distribution models, including, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (A) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL), (B) the Artistic License (e.g., PERL), (C) the Mozilla Public License, (D) the Netscape Public License, (E) the Sun Community Source License (SCSL), (F) the Sun Industry Standards License (SISL), (G) the BSD License, and (H) the Apache License.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.

  • Hosted Software means the software owned and controlled by Vendor or Vendor’s third-party contractor that supports the Hosted Software Services.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Open Source Software means software or similar subject matter that is distributed under an open source license such as (by way of example only) the GNU General Public License, GNU Lesser General Public License, Apache License, Mozilla Public License, BSD License, MIT License, Common Public License, any derivative of any of the foregoing licenses, or any other license approved as an open source license by the Open Source Initiative or as a free software license by the Free Software Foundation.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.
