Restated Memorandum and Articles definition

Restated Memorandum and Articles means the Amended and Restated Memorandum and Articles of Association of the Company in substantially the form attached hereto as Exhibit A.
Restated Memorandum and Articles means the Sixth Amended and Restated Memorandum of Association and the Sixth Amended and Restated Articles of Association of the Company, as each may be amended and/or restated from time to time.

  • All Ordinary Shares issued upon the proper exercise of a Warrant in conformity with this Agreement and the Amended and Restated Memorandum and Articles of Association of the Company shall be validly issued, fully paid and non-assessable.

  • The Exchange Event shall be the Company’s consummation of an initial Business Combination (as defined in the Company’s Amended and Restated Memorandum and Articles of Association).

Restated Memorandum and Articles has the meaning set forth in Section 7.3(c);
