Residual Percentage means the residual of (A) one minus (B) the product of (x) the aggregate Membership Percentages of HoldCo and its Subsidiaries and (y) the Company’s “HoldCo interest.” For purposes of this Agreement, (i) reference to “GE’s Percentage Interest” shall include Percentage Interests held by wholly-owned Subsidiaries of GE other than HoldCo and its Subsidiaries and (ii) in order to avoid double counting, the Percentage Interests of HoldCo and its Subsidiaries are deemed to be zero.

Examples of Residual Percentage in a sentence

  • Sixth, any remainder allocated to the Partners in proportion to their respective Residual Percentage Interests.

  • Such proration shall be based upon the portion of the year during which such Partner held the Residual Percentage, except that extraordinary, nonrecurring items shall be allocated to the persons holding Partnership interests at the time such extraordinary items occur.
