Resale Date definition

Resale Date means the first date on which Purchaser sells, transfers or otherwise disposes of all of the Notes to any Person or Persons that are not Affiliates of Purchaser.
Resale Date means the earlier of (a) the Delivery Date, (b) the date the Back-Stop Common Shares are issued and (c) the expiration date of the Subordination Period resulting from a Change of Control of the Company.
Resale Date means the date on which the Securities are sold by the Purchasers pursuant to Rule 144A, Regulation S and/or any other exemption from registration available under the Securities Act.

Related to Resale Date

  • Sale Date means the date that the Bonds are awarded by the District to the winning bidder.

  • Resale Period shall have the meaning assigned thereto in Section 2(a) hereof.

  • Initial Sale Time means 4:00 p.m. (Eastern time) on the date of this Underwriting Agreement.

  • Resale means the subsequent sale or lease on a commercial basis, with or without adding value, of a telecommunications service purchased from RCP or a Telecommunications Provider.

  • Initial Sale is defined in the recitals of this Agreement.
