Requisite Target Stockholder Approval definition

Requisite Target Stockholder Approval means the affirmative vote of the holders of a majority of the Target Shares in favor of this Agreement and the Merger.

More Definitions of Requisite Target Stockholder Approval

Requisite Target Stockholder Approval means the affirmative vote in favor of this Agreement and the Merger by the holders of at least (i) a majority of the Target Shares, (ii) a majority of the Target Preferred Stock, (iii) a majority of the Series B Shares and (iv) sixty percent (60%) of the Series C Shares, present in person or by proxy at the Special Target Meeting or by written consent pursuant to the Delaware Act.
Requisite Target Stockholder Approval means the affirmative vote of the holders of such number of Target Shares as is required under Arizona General Corporation Law to approve this Agreement and the Merger.
