Requisite Supporting Parties definition

Requisite Supporting Parties means, as of any date of determination, the Supporting Parties who own or control as of such date at least two-thirds of the aggregate outstanding principal amount of loans under each of (i) the First Lien Credit Agreement and (ii) the Second Lien Credit Agreement.
Requisite Supporting Parties means Consenting Creditors representing at least 70% of the total aggregate principal and face amount of Unsecured Claims held by the Consenting Creditors, which shall include (i) Consenting Creditors holding at least 33% of the total aggregate principal and face amount of the Mansfield Certificate Claims held by the Consenting Creditors and (ii) (x) to the extent affecting distributions on account of, or economic treatment of, FES Single-Box Unsecured Claims in a manner inconsistent with the Restructuring Support Agreement (except to the extent such inconsistency only results in Pro Rata dilution of New Common Stock), the rights of minority holders of New Common Stock (to the extent inconsistent with the corporate governance term sheet attached to the Restructuring Support Agreement) or release or exculpation provisions relating to the FES Creditor Group, members of the FES Creditor Group holding at least 50% of the total face amount of the FES Single-Box Unsecured Claims and FENOC-FES Unsecured Claims held by the FES Creditor Group and (y) to the extent affecting distributions on account of, or economic treatment of, FENOC-FES Unsecured Claims in a manner inconsistent with the Plan Term Sheet (except to the extent such inconsistency only results in Pro Rata dilution of New Common Stock), members of the FES Creditor Group holding at least 50% of the total face amount of the FENOC-FES Unsecured Claims held by the FES Creditor Group.
Requisite Supporting Parties means, as of any date of determination, the Support Parties who own or control as of such date at least 66 and two-thirds percent in principal amount of the Notes.

Examples of Requisite Supporting Parties in a sentence

  • Without limiting the foregoing, unless otherwise provided by the terms of a Restructuring Transaction, all such Restructuring Transactions will be deemed to occur on the Effective Date and may include one or more mergers, conversions, consolidations, restructurings, dispositions, liquidations or dissolutions, as may be determined by the Debtors or the Reorganized Debtors and the Requisite Supporting Parties to be necessary or appropriate.

  • The New Securities and Documents shall be in form and substance acceptable to the Debtors and the Requisite Supporting Parties.

  • This Agreement may be terminated by mutual written agreement among the Company and the Requisite Supporting Parties.

  • Reorganized American Apparel will elect to be treated as a corporation for U.S. federal income tax purposes effective on the earlier of the Effective Date or the date of formation, absent an alternative structure determined by the Requisite Supporting Parties, which alternative structure shall require the consent of the Debtors only if such structure results in a transfer of a Debtor's assets to a new entity that is not a successor of the Debtor for tax purposes.

  • In determining whether any consent or approval has been given or obtained by the Requisite Supporting Parties, any then-existing Supporting Party that is in material breach of its covenants, obligations or representations under this Agreement (and the Notes held by such Supporting Party) shall be excluded from such determination, and the Notes held by such Supporting Party shall be treated as if they were not outstanding.

  • Any modifications, supplements or amendments of the Plan or Disclosure Statement shall be in form and substance acceptable to the Company and the Requisite Supporting Parties.

  • In determining whether any consent or approval has been given or obtained by the Requisite Supporting Parties, any then-existing Supporting Party that is in material breach of its covenants, obligations or representations under this Agreement shall be excluded from such determination.

  • This Agreement shall be in effect beginning on the Effective Date and, unless terminated earlier pursuant to the provisions of this Section 1, shall continue until December 31, 2017 (the “Term”).

Related to Requisite Supporting Parties

  • Mortgage Supporting Documents means, with respect to a Mortgage for a parcel of Real Property, each the following:

  • Supporting Documents means all documents and information reasonably requested by the Bank in connection with the opening and operation of any Account, the execution of any Transaction and the provision of any Related Service, including:

  • Contracting Parties has the meaning set forth in Section 9.14.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • Instructing Party shall have the meaning assigned to such term in Section 6.3(a).

  • Supporting Documentation means the documents listed in Schedule A of this Certificate which forms part of this

  • Controlling Note Holder Representative shall have the meaning assigned to such term in Section 6(a).

  • Customer Representative means the representative appointed by the Customer from time to time in relation to this Call Off Contract;

  • Procurement Representative means the person authorized by ULA’s cognizant procurement organization to administer and/or execute this Contract.

  • Supporting Obligation means a letter-of-credit right or secondary obligation that supports the payment or performance of an account, chattel paper, a document, a general intangible, an instrument, or investment property.

  • Non-Controlling Note Holder Representative shall have the meaning assigned to such term in Section 6(c).

  • Notice Parties means those Persons who are required to receive notice of filings made with the CPUC pursuant to A. 00-00-000.

  • Confirming Party means the party designated in the Base Contract to prepare and forward Transaction Confirmations to the other party.

  • Supporting information means the experience and judgment of the filer and the experience or data of other insurers or organizations relied on by the filer, the interpretation of any statistical data relied on by the filer, description or methods used in making the rates and any other similar information required to be filed by the commissioner.

  • Licensing representative means a person authorized by the Department under Section 5 of the Child Care Act of 1969 to examine facilities for licensure.

  • Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;

  • Supporting Obligations means supporting obligations (as such term is defined in the Code), and includes letters of credit and guaranties issued in support of Accounts, Chattel Paper, documents, General Intangibles, instruments or Investment Property.

  • Cloud BPO Support means the then-current technical support services SAP provides to Provider for the SAP Cloud Services as described in the Cloud BPO Schedule.

  • Transaction Parties As defined in Section 5.3(o).

  • Financing Party means any and all Persons, or the agents or trustees representing them, providing senior or subordinated debt or tax equity financing or refinancing (including letters of credit, bank guaranties or other credit support).

  • Acquisition Agreement Representations means the representations and warranties with respect to the Companies made by the Seller in the Acquisition Agreement to the extent a breach of such representations and warranties is material to the interests of the Lenders, but only to the extent that the Borrower or its Affiliates have the right to terminate its or their obligations under the Acquisition Agreement (or decline to consummate the Rockwood Acquisition) as a result of a breach of such representations in the Acquisition Agreement.

  • Parent Representatives has the meaning set forth in Section 5.2(a).

  • Project Representative means the individual(s), including but not limited to the Resident Engineer, to whom the Authority Representative has delegated Project responsibilities. If a Project Representative is appointed, the Project Representative represents the Authority Representative on the Project within the limits of that delegation with respect to any part of the Work.

  • New Agreement means a new agreement substantially in the form of this Agreement, which is to be entered into with a Secured Lender that is at Arm’s Length with the Supplier or a Person identified by such Secured Lender following termination of this Agreement, as set out in Section 12.2(g).

  • Pharmacy support person means a person, other than a licensed pharmacist, a registered pharmacist-intern, or a registered pharmacy technician, who may perform nontechnical duties assigned by a supervising pharmacist under the pharmacist’s responsibility and supervision.
