Required Regulatory Approvals definition

Required Regulatory Approvals means the Seller Required Regulatory Approvals and the Buyer Required Regulatory Approvals.

Required Regulatory Approvals has the meaning set forth in Section 7.01(b).

Required Regulatory Approvals means those certificates, no-action letters, notices, sanctions, rulings, consents, orders, exemptions, permits, licenses, waivers, early termination authorizations, clearances, written confirmations of no intention to initiate legal proceedings and other approvals (including the lapse, without objection, of a prescribed time under a statute or regulation that states that a transaction may be implemented if a prescribed time lapses following the giving of notice without an objection being made) of Governmental Authorities as set forth in Schedule I hereto.

• The Parties agree to use their respective commercially reasonable efforts to obtain any and all Required Regulatory Approvals.

• The terms and conditions of this Agreement are expressly contingent upon the Required Regulatory Approvals, if any, each being granted without the imposition of any material modification or condition of the terms of this Agreement or the subject transactions, unless such modification(s) or condition(s) as may be required by the applicable regulatory agency is (are) agreed to by the Parties in their respective sole discretion.

• All of the Company’s actual costs in connection with seeking Required Regulatory Approvals shall be included within the meaning of the term Company Reimbursable Costs and shall be paid for by Customer.

More Definitions of Required Regulatory Approvals

Required Regulatory Approvals means receipt by (a) Xxxxxx Financial Services, LLC (“HFS”) of (x) written approval from FINRA pursuant to NASD Rule 1017 and (y) the approval of a new distribution agreement and shareholder servicing agreement between HFS and Xxxxxx Series Trust (the “RIC”) by the board of trustees of the RIC, including a majority of the trustees who are not “interested persons” (as defined in the Investment Company Act of 1940, as amended) and (b) AFA of the consent of each of its advisory clients to the “assignment” of their advisory contract with AFA.

Required Regulatory Approvals means with respect to a Party, any consent or approval of, filing with, or notice to, any Governmental Authority that is necessary for the execution and delivery of the Agreement and the Ancillary Agreements by such Party or the consummation thereby of the transactions contemplated hereby.

Required Regulatory Approvals has the meaning set forth in Section 4.05.

Required Regulatory Approvals means the approvals set forth on Section 1.1(c) of the Seller Disclosure Letter.

Required Regulatory Approvals means, collectively, the Filings and Consents of all Governmental Authorities set forth in Section 3.4(b) of the Seller Disclosure Schedule necessary for the Parties to execute and deliver this Agreement and the Transaction Documents, as applicable, and for the Parties to consummate the Contemplated Transactions.

Required Regulatory Approvals means the Regulatory Approvals set out in Schedule B.
