Required Prepayment Date definition

Required Prepayment Date as defined in Section 2.15(c).

Required Prepayment Date shall have the meaning assigned to such term in Section 2.11(e).

Examples of Required Prepayment Date in a sentence

• Any Lender that does not deliver a Declination Notice to Agent on or before the first Business Day prior to the Required Prepayment Date shall be deemed to have elected, as of such date, to receive the entire Waivable Mandatory Prepayment available.

• Each such Lender may exercise such option by giving written notice to Borrower and Administrative Agent of its election to do so on or before the first Business Day prior to the Required Prepayment Date (it being understood that any Lender which does not notify Borrower and Administrative Agent of its election to exercise such option on or before the first Business Day prior to the Required Prepayment Date shall be deemed to have elected, as of such date, not to exercise such option).

• Each Lender may elect to decline receipt of all or any portion of the Waiveable Mandatory Prepayment to which it is entitled (without prejudice to such Lender’s rights hereunder to accept or decline any future payments in respect of mandatory prepayments) by giving written notice to Agent of its election to decline (“Declination Notice”) all or any portion of the applicable Waivable Mandatory Prepayment on or before the first Business Day prior to the Required Prepayment Date.
