Required Prepayment Amount definition

Required Prepayment Amount has the meaning assigned to such term in the Senior Credit Facility, as in effect on the Closing Date.

Required Prepayment Amount means an amount equal to seventeen percent (17%) of the Loans outstanding on the Cut-off Date.

Required Prepayment Amount means the 2014-2016 Required Prepayment Amount or the 2017-2019 Required Prepayment Amount, as applicable, with respect to any calendar year.

Examples of Required Prepayment Amount in a sentence

• If the Company has delivered a Prepayment Notice in accordance with Section 3(a)(i), then the Company shall pay to the Holder the Required Prepayment Amount in cash by wire transfer of immediately available funds to an account designated by the Holder.

• Any excess Required Prepayment Amount not required to be applied pursuant to this Section 8.21 shall be retained by the Borrower and its Restricted Subsidiaries and used for any purpose not prohibited hereunder.

• In the event that after the giving of a notice of reinvestment referred to in the previous sentence, the Company either ceases to intend to make such reinvestment, or any portion thereof, or fails to make such reinvestment, or any portion thereof, within the 365-day period, then the Company shall immediately make the prepayment of the unused Required Prepayment Amount in accordance with this Section 2.05(b).

• The delivery of a Prepayment Notice by the Company to the Holder shall be irrevocable, and the failure of the Company to prepay the Required Prepayment Amount set forth therein on the applicable Optional Prepayment Date shall constitute an Event of Default hereunder.

• In the event that, at any time from and after the date hereof, the Company is prohibited from issuing shares of Common Stock upon conversion of the Note as a result of the operation of this Paragraph A, the Company shall immediately notify the Holder of such occurrence and the Company shall prepay to the Holder in cash, within 30 days, an amount equal to the Required Prepayment Amount (as defined below).

Required Prepayment Amount means at any date of determination an amount equal to the excess of the aggregate outstanding principal amount of the Loans on such date of determination over the following amount: SP _____ X TL $20.00 Where, TL is equal to the aggregate outstanding principal amount of the Loans on the date the Market Value per share of the common stock of the Company falls below $20.00; and SP is equal to the Market Value per share of the common stock of the Company on such date of determination rounded down to the nearest whole dollar amount.

Required Prepayment Amount means, with respect to the Net Cash Proceeds (or portion thereof, as the case may be) of each applicable Disposition, (a) one hundred percent (100%) of such Net Cash Proceeds if (i) the Disposition constitutes a Mining Sale or (ii) immediately before giving effect to such Disposition, the Consolidated Leverage Ratio is greater than or equal to 2.00 to 1.00, or (b) fifty percent (50%) of such Net Cash Proceeds in all other cases.

Required Prepayment Amount means, on any Required Distribution Calculation Date, any amount of Disposal Proceeds, Insurance Proceeds and Recovery Proceeds received by an Onshore Group Member and which, as at that date, is required to be applied in prepayment of the Loan pursuant to Clause 8.2 (Disposal, Insurance and Recovery Proceeds and Excess Cashflow) including any amount which is required to be applied in prepayment pursuant to Clause 8.6 (Trapped Amount) (where applicable, applying the Official FX Rate on the Required Distribution Calculation Date).
