Required Governmental Approval definition

Required Governmental Approval means the Governmental Approvals set forth on Schedule 12.1(b). “Resolution Period” is defined in Section 2.7(b).

• All conditions and requirements prescribed by Applicable Law, any Required Contractual Consent or any Required Governmental Approval to be satisfied on or prior to the Closing Date shall have been satisfied to the extent necessary such that all such Required Contractual Consents and Required Governmental Approvals are, and will remain, in full force and effect assuming continued compliance with the terms thereof after the Closing.

More Definitions of Required Governmental Approval

Required Governmental Approval has the meaning set forth in paragraph (e) of Clause Second of this Agreement.

Required Governmental Approval means all approvals of, or declarations or filings with, or expiration of waiting periods imposed by, any governmental agency necessary for the consummation of the transactions contemplated by this Agreement, including (i) expiration or termination of all applicable waiting periods, if any, under the HSR Act and (ii) the expiration of any applicable waiting period under section 123 of the Competition Act, or the waiver by the Commissioner (in accordance with section 113(c) of the Competition Act) of the obligation to provide a pre-merger notification in accordance with Part IX of the Competition Act, in respect of the purchase of Shares contemplated by this Agreement.
