Requesting Shareholders means, with respect to any Registration Event, the Shareholder(s) that have requested such Registration Event and the other Shareholders that have requested inclusion therein in accordance with this Agreement.

Requesting Shareholders shall be entitled to make no more than three (3) written requests of the Company (each, a “Demand”) for registration under the Securities Act of an amount of Registrable Securities then held by such Requesting Shareholders that equals or is greater than the Registrable Amount (a “Demand Registration” and such registration statement, a “Demand Registration Statement”).
