Examples of Representative’s Warrants in a sentence
The Representative’s Warrant Shares have been duly authorized and, when issued in accordance with the terms of the Representative’s Warrants, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company.
The Company hereby waives and releases, to the fullest extent permitted by law, any claims that the Company may have against the Underwriters with respect to any breach or alleged breach of any fiduciary or similar duty to the Company in connection with the transactions contemplated by this Agreement and each of the Representative’s Warrants or any matters leading up to such transactions.
In addition, the Representative’s Warrants provide for certain demand and piggyback registration rights as more fully described in the Representative’s Warrants.
The Company has been duly incorporated or formed and is validly existing and in good standing as a corporation under the laws of the jurisdiction of its formation and has corporate power and authority to own, lease and operate its properties and to conduct its business as described in the Registration Statement, the Disclosure Package and the Prospectus and to enter into and perform its obligations under this Agreement and each of the Representative’s Warrants.
At each Closing Date, as applicable, the Company shall issue the Representative’s Warrants to the Representative, as set forth in Section 2(g) hereof.
