Representative Shares definition

Representative Shares shall have the meaning given in the Recitals hereto.
Representative Shares means the 200,000 shares of Common Stock of the Company issued to the Representative and its designees prior to the consummation of the Company’s initial public offering.
Representative Shares means the 375,000 shares (or 431,250 shares upon full exercise of the underwriters' over-allotment option) of the Company’s Class A common stock issued to the Representative and its designees upon the consummation of the Company’s initial public offering.

Examples of Representative Shares in a sentence

  • The Representative has agreed not to transfer, assign or sell any such Representative Shares without prior consent of the Company until the completion of the initial Business Combination.

  • Notwithstanding anything to the contrary contained in this Agreement, no Registration shall be effected or permitted and no Registration Statement shall become effective, with respect to any Registrable Securities held by any Holder, until after the expiration of the Founder Shares Lock-up Period, the Private Placement Lock-up Period, or the Representative Shares Lock-up Period, as the case may be.

Representative Shares means the 250,000 shares of InterPrivate Common Stock issued to the designees of EarlyBirdCapital in a private placement in September 2019.
