Representations definition

Representations means the written Representations and Warranties provided by Borrower to Silicon referred to in the Schedule.

Representations. In Section 3:

If there is any conflict between the provisions of this Framework Agreement and provisions of any Call Off Agreement, the provisions of this Framework Agreement shall prevail over those of the Call Off Agreement save that: any refinement to the Template Order Form and Template Call Off Terms permitted for the purposes of a Call Off Agreement under Clause 4 and Framework Schedule 5 (Call Off Procedure) shall prevail over Framework Schedule 4 (Template Order Form and Template Call – Off Terms); and subject to Clause 1.2.4, the Call Off Agreement shall prevail over Framework Schedule 18 (Tender). Where Framework Schedule 18 (Tender) contains provisions which are more favourable to CCS in relation to the rest of the Framework Agreement, such provisions of the Tender shall prevail. CCS shall in its absolute and sole discretion determine whether any provision in the Tender is more favourable to it in relation to this Framework Agreement.
