Replacement Manager definition

Replacement Manager means any Person appointed to replace the Manager and to assume the obligations of Manager under the Management Agreement.

Replacement Manager. Any Person appointed to replace the then Manager as manager of the Managed Containers, which Person shall be acceptable to the Requisite Global Majority.

Additionally, if the reputation or financial strength of any entity identified on Schedule 1.1(d) should be materially impaired, in Administrative Agent’s reasonable discretion, after the date of this Agreement, such entity shall cease to be an eligible Replacement Manager and Schedule 1.1(d) shall, upon written notice to Borrower by Administrative Agent, be automatically amended to reflect the removal of such entity.

Replacement Manager means a Person with at least ten (10) years of experience in the development, construction and/or ownership of at least 1,000,000 square feet of residential or hotel condominium projects in Manhattan, subject to Lender's reasonable approval.
