Replacement Financing definition

Replacement Financing has the meaning set forth in Section 5.9(b).
Replacement Financing means any Alternative Financing or other debt financing, including the offering of debt securities, undertaken by Parent or its Subsidiaries for the purpose of funding the Merger and the other Transactions, the net cash proceeds of which are or will be, together with cash and cash equivalents available to Parent, sufficient to pay the Required Amount and will be provided to (and used by) Parent to consummate the Transactions in accordance with the terms of this Agreement.
Replacement Financing has the meaning assigned to such term in Section 2.20(a).

Examples of Replacement Financing in a sentence

  • For the purposes of this deed the references to “Debt Financing” mean the financing contemplated by the Commitment Letter, any Replacement Financing Letters and any refinancing contemplated in connection with the Transaction as permitted by this clause 5.9 to be amended, modified or replaced.

Replacement Financing has the meaning assigned to such term in Section 6.3(a).
Replacement Financing means debt financing which will result in net proceeds in the same amount as the amount committed to in the Commitment Letter and on terms and conditions not materially less favorable to DigitalGlobe or the Surviving Corporation than those set forth in the Commitment Letter.
