Replacement Event definition

Replacement Event shall have the meaning specified in Section 11.16.
Replacement Event means, with respect to any Lender, (a) the commencement of or the taking of possession by, a receiver, custodian, conservator, trustee or liquidator of such Lender, or the declaration by the appropriate regulatory authority that such Lender is insolvent or (b) the making of any claim by any Lender under Section 2.8(b), 12.3 or 12.5, unless the changing of the lending office by such Lender would obviate the need of such Lender to make future claims under such Sections.
Replacement Event means any of the following:

Examples of Replacement Event in a sentence

  • After the occurrence of a Servicer Replacement Event, at the written request of the Administrative Agent, the Borrower shall appoint a replacement Servicer acceptable to the Required Lenders, whose acceptance shall not be unreasonably withheld or delayed, within 60 days of such request.

  • Each of the Parties, other than the Security Trustee, hereby gives its consent in advance (instemming by voorbaat) to the transfer to the Security Trustee and the replacement of the CBC under this Agreement by the Security Trustee upon the occurrence of a CBC Replacement Event.

  • The second sentence of this Section 11.1 shall not apply where the University is the Manager pursuant to a Manager Replacement Event, in which case the Students’ Union shall be responsible for the provision of Caretaking Services to the Conference and Events Loading Dock at its sole expense.

Replacement Event shall have the meaning specified in subsection 11(c) of this Series Supplement.

Replacement Event means where the Hedging Counterparty acting in its sole and absolute discretion determines that for legal, regulatory or other similar reasons, it is in the interests of any Series Party (excluding the Trustee) to replace the Trustee.
