Replacement Collateral definition

Replacement Collateral has the meaning specified in Section 5.02(b).
Replacement Collateral means, at any relevant date in connection with a Collateral Asset Sale or Event of Loss, assets to be used in the business of the Company or its Subsidiaries, which on such date (i) constitute assets under “Telephone Network Systems and Equipment” on the Company’s consolidated balance sheet, (ii) are to be acquired by the Company at a purchase price that does not exceed the Fair Market Value of such Replacement Collateral, (iii) will be upon purchase free and clear of all Liens other than Collateral Permitted Liens (other than any Lien described under clause (6) of the definition thereof), and (iv) are subject to Collateral Documents to which the owner of the Replacement Collateral is a party.
Replacement Collateral shall have the meaning specified in Section 14(b)(ii) of this Agreement.

Examples of Replacement Collateral in a sentence

  • In the event that Party A has delivered a Substitution Notice pursuant to Condition 4(b)(i) (Substitution at direction of Counterparty) giving notice to Party B of its intention to substitute cash comprising the Charged Assets with certain Eligible Bonds (such Eligible Bonds as specified in the Substitution Notice, the "Replacement Collateral Securities"), Party A shall, on the date specified for such substitution in the Substitution Notice, transfer the Replacement Collateral Securities to Party B.

Replacement Collateral means, at any relevant date in connection with an Asset Sale or Event of Loss, assets to be used in the business of the Company or its Subsidiaries, which on such date (i) shall be upon receipt or purchase free and clear of all Liens other than Permitted Liens, and (ii) are or shall become upon receipt or purchase subject to Collateral Documents to which the owner of the Replacement Collateral is or becomes a party.
Replacement Collateral means with respect to any item of Collateral, any non-cash asset received in consideration of, or in exchange for, the foreclosure, transfer, sale or other disposition of such item of Collateral.
Replacement Collateral means, at any relevant date in connection with a Collateral Asset Sale or Event of Loss, assets to be used in the business of the Borrower or the Grantor Subsidiaries, which on such date (i) constitute similar assets to Collateral or Real Property Collateral (in the case of an Event of Loss) disposed of or destroyed and do not constitute Capital Stock of any Person (other than with respect to any Collateral Asset Sale or Event of Loss of Capital Stock of Comegua to which this clause (i) shall not apply), (ii) are to be acquired by the Borrower or the corresponding Grantor Subsidiary at a purchase price that does not exceed the Fair Market Value of such Replacement Collateral, (iii) will be upon purchase free and clear of all Liens other than Collateral Permitted Liens, and (iv) are subject to Collateral Documents to which the owner of the Replacement Collateral is a party.
Replacement Collateral has the meaning provided in Section 4.10.
Replacement Collateral any asset which is received in exchange for Collateral or otherwise becomes Collateral.

Replacement Collateral means any real or personal property added to the Collateral after the Closing Date pursuant to Section 4.3, other than any such property subsequently released from the Collateral in accordance with the terms of this Agreement.
