Reorganized RentPath definition

Reorganized RentPath means the Company, as reorganized under the Plan following the discharge provided by the Confirmation Order on or after the Plan Effective Date.

  • To the extent the Buyer or any Affiliate of Buyer (including, after the Closing, Reorganized RentPath) is required by applicable Tax Laws to pay any Transfer Taxes to a Governmental Authority, Sellers (other than the Company) and Wind Down Co. will remit an amount equal to such Transfer Taxes to the Buyer not less than five (5) Business Days prior to the due date for such payment.

  • If the Buyer or a Buyer Related Party (including, following the Closing, Reorganized RentPath) suffers, sustains or incurs any Holdback Liabilities, it shall promptly provide reasonably detailed written evidence of such Holdback Liabilities to the other Parties (a “Holdback Notice”).

  • None of the Sellers and Wind Down Co. shall have any right of contribution or subrogation against Reorganized RentPath with respect to any breach by any Seller (or Reorganized RentPath with respect to the period on or prior to the Closing Date) of any of its representations, warranties, covenants or agreements.

  • If, after the Closing, Reorganized RentPath, Buyer or any of their Affiliates receives or is otherwise in possession of any Excluded Assets, including moneys or proceeds of vendor refunds, then the Buyer shall, or shall cause Reorganized RentPath and its Affiliates to, remit such Excluded Assets or an amount equal to such proceeds to Wind Down Co. within ten (10) days after becoming aware of the receipt or possession thereof.

  • Psychiatric hospital means an Institution constituted, licensed, and operated as set forth in the laws that apply to Hospitals, which meets all of the following requirements:

  • New Company has the meaning given to it in Clause 21.3 of the Trust Deed;

  • Storm water management plan means a comprehensive plan designed to reduce the discharge of pollutants from storm water after the site has under gone final stabilization following completion of the construction activity.

  • Water dependent means a structure for commerce or industry which cannot exist in any other location and is dependent on the water by reason of the intrinsic nature of its operations.

  • Water-dependent use means a use or portion of a use which cannot exist in a location that is not adjacent to the water and which is dependent on the water by reason of the intrinsic nature of its operations.

  • Existing source or existing discharger (in the NPDES program) means any source which is not a new source or new discharger.

  • Rehabilitative services means specialized services provided by a therapist or a therapist’s assistant to a resident to attain optimal functioning, including, but not limited to, physical therapy, occupational therapy, speech and language therapy, and audiology.

  • Inpatient services means services provided to you as an admitted inpatient in a recognised private or public hospital for treatment that is in an included clinical category, has a Medicare item number allocated and a Medicare benefit is payable.

  • Corporation/ Corpn./ Department means the Central Warehousing Corporation.

  • Rural hospital means a hospital that meets both of the following:

  • Virginia Stormwater Management Program or “VSMP” means a program approved by the State Board after September 13, 2011, that has been established by a locality to manage the quality and quantity of runoff resulting from land-disturbing activities and shall include such items as local ordinances, rules, permit requirements, annual standards and specifications, policies and guidelines, technical materials, and requirements for plan review, inspection, enforcement, where authorized in this article, and evaluation consistent with the requirements of this article and associated regulations.
