The Initial Term of this Agreement shall automatically be extended for an additional one-year term on the Expiration Date (each, a “Renewal Term”) and on each successive anniversary of the Expiration Date (each, a “Renewal Date”), unless and until (i) the Board gives written notice of non-renewal at least 90 days before any Renewal Date; or (ii) this Agreement is terminated earlier in accordance with this Section 1.
Subject to any Minimum Term and Renewal Date as stated in Appendix B, The Client is required to give a minimum of 90 (ninety) days written notice of termination.
The City Council may, at any time prior to the annual Renewal Date, withdraw its Notice of Nonrenewal.
The Notice of Nonrenewal shall be effective only if served by Owner upon City at least ninety (90) days prior to the Renewal Date, or if served by City upon Owner, the Notice of Nonrenewal shall be effective only if served upon Owner at least sixty (60) days prior to the Renewal Date.
Conversely, if the City elects to serve a notice of nonrenewal, the notice must be served on the Owners at least 60 days prior to the Renewal Date, or else a period of one additional year shall automatically be added to the term of this Agreement.
