• If any Remaining Shareholder fails to give timely notice or declines to purchase its proportionate share, the other Remaining Shareholders shall have the option to purchase that Remaining Shareholder’s proportionate share of the Offered Shares, in proportion to their respective ownership interests of the outstanding Shares.
