Remaining Debt definition

Remaining Debt means the difference between the VCI Debt and -------------- $3,000,000.
Remaining Debt at any time, means all Financial Indebtedness of any member of the Group and the Target Group then outstanding under or in respect of the Remaining Debt Agreements (other than in respect of the Cash Pooling Facilities).
Remaining Debt has the meaning set forth in Section 2(c).

Remaining Debt means any Debt owed by XxxX TopCo to the Seller and/or its Affiliates immediately following Further Closing and any new Debt advanced by the Seller and/or its Affiliates between Further Closing and Remaining Closing, reduced by the amount of any principal repayment made by XxxX TopCo between Further Closing and Remaining Closing, together with the right to receive payment of such Debt and all other rights of the Seller and/or its Affiliates in respect of, and/or pursuant to any instrument constituting, such Debt;
