Reload Options definition

Reload Options means Options granted pursuant to Section 7(d) hereof.
Reload Options means Options granted to Participants that, upon exercise, commit the Company to automatically grant to the Participant on the date of exercise additional options.
Reload Options shall have the meaning provided herein at Section 5.1.

Examples of Reload Options in a sentence

  • Stock Reload Options shall be of the same type as the Underlying Option and will be granted subject to similar terms, conditions, restrictions and limitations as applicable to the Underlying Option.

  • Any Reload Option may provide for the grant, when exercised, of subsequent Reload Options to the extent and upon such terms and conditions consistent with this Article 6, as the Committee in its sole discretion shall specify at or after the time of grant of such Reload Option.

  • Each Share Option Agreement shall state whether the Committee has authorized Reload Options with respect to the Underlying Option.

  • Reload Options shall be fully vested and exercisable on the date of grant.

  • Non-Employee Director Reload Options shall only be granted to a Director during such Director's term as a Non-Employee Director.


More Definitions of Reload Options

Reload Options means an option granted pursuant to Section 8.
Reload Options means reload rights for the purchase, at the time of the exercise of any Stock Option, of a number of shares equal to the number of shares purchased by such exercise, as described in Section 5.
Reload Options means additional Options granted automatically to a Participant upon the exercise of Options pursuant to Section 3.2(f).
Reload Options means Options that are issued with respect to a Participant who exercises an Option by means of the surrender of shares of Common Stock the Participant previously acquired.
Reload Options means Options granted pursuant to Section 7(b) hereof.
Reload Options means additional Options automatically granted to an Optionee upon the exercise of Options pursuant to Section 7.1(d) of this Plan.

Related to Reload Options

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • SARS means the South African Revenue Service.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • SAR means a stock appreciation right granted under the Plan.

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Other Share-Based Awards means Awards consisting of Share units, or other Awards, valued in whole or in part by reference to, or otherwise based on, Shares.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Stock Appreciation Right Agreement means a written agreement between the Company and a holder of a Stock Appreciation Right evidencing the terms and conditions of a Stock Appreciation Right grant. Each Stock Appreciation Right Agreement will be subject to the terms and conditions of the Plan.
