Relevant Financial Indebtedness definition

Relevant Financial Indebtedness means any present or future Financial Indebtedness of the Issuer or any Subsidiary in the form of, or represented by, bonds, notes, or other transferable securities (effecten/valeurs mobilières) which are for the time being, or are capable of being, quoted, listed or ordinarily dealt in or traded on any stock exchange, over-the-counter or other securities market;
Relevant Financial Indebtedness means Indebtedness of any member of the Group outstanding under any of the following: (a) the French Revolving Facility; (b) the U.S. Revolving Facility; (c) the Nordic Facility; or (d) the Term Loan B Facility.”;

For purposes of this definition, the “Maximum Fixed Repurchase Price” of any Disqualified Capital Stock or Preferred Stock that does not have a fixed repurchase price shall be calculated in accordance with the terms of such Disqualified Capital Stock or Preferred Stock as if such Disqualified Capital Stock or Preferred Stock were purchased on any date on which Consolidated Total Indebtedness shall be required to be determined pursuant to this Agreement, and if such price is based upon, or measured by, the fair market value of such Disqualified Capital Stock or Preferred Stock, such fair market value shall be determined reasonably and in good faith by the Borrower.

  • Total Consolidated Indebtedness means, as of any date of determination, an amount equal to the aggregate amount of all Indebtedness of the Company and its Restricted Subsidiaries, determined on a Consolidated basis in accordance with GAAP, outstanding as of such date of determination, after giving effect to any Incurrence of Indebtedness and the application of the proceeds therefrom giving rise to such determination.
