Release Consideration Period definition

Release Consideration Period means the period of time pursuant to the terms of the Release afforded the Executive to consider whether to sign it.
Release Consideration Period means the period of time specified by the Release, not to exceed forty-five (45) days, during which the affected Participant is permitted to consider whether or not to sign the Release.

  • As of such later date but conditioned upon the Executive’s execution and delivery to the Company of a Release within the Release Consideration Period and the expiration of the Release Revocation Period without revocation, the Executive will be entitled to vesting and payout governed by the terms of the applicable Evidence of Award, subject in any event to the Release Requirements of this sentence.

  • In the event that Executive does not sign this Release Agreement before the expiration of the Release Consideration Period, or in the event that Executive revokes this Release Agreement during the Revocation Period, this Release Agreement and the Separation Agreement shall be deemed automatically null and void in their entirety (and, for the avoidance of doubt, Executive shall not be entitled to receive any of the Severance Benefits in accordance with the terms of the Separation Agreement).

  • The Company’s obligation to provide such payments and benefits is expressly made subject to and conditioned upon Executive executing a Release within the Release Consideration Period and delivering it to the Company with the Release Revocation Period expired without revocation.


More Definitions of Release Consideration Period

Release Consideration Period means the period of 21 days or 45 days, as applicable, following the date the Company provides the Eligible Executive with a general release of claims before the Eligible Executive must execute such release of claims to fulfill the Release Requirement.
Release Consideration Period means the twenty-one (21) day period following the date upon which the Company timely delivers the Release to Executive, or in the event that Executive’s termination of employment is “in connection with an exit incentive or other employment termination program” (as such phrase is defined in the Age Discrimination in Employment Act of 1967), the forty-five (45) day period following such delivery date.

Related to Release Consideration Period

  • Aggregate Consideration has the meaning set forth in Section 11.6(C).

  • Cash Amount means an amount of cash per Partnership Unit equal to the value of one share of Common Stock as determined under the applicable Exchange Rights Agreement on the Valuation Date of the Common Stock Amount.

  • Total Consideration shall have the meaning as set forth in Section 2.8.

  • Cash Payment has the meaning set forth in Section 2.03(b)(iii) below.

  • Per Share Consideration means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Non-Cash Consideration means consideration in a form other than cash.

  • Contract Consideration has the meaning set forth in the definition of “Excess Cash Flow.”
